1.              introduction

1.1            Gamcrowd Services Limited is a crowdsourcing company dedicated to providing a marketplace (“Marketplace” or “GamCrowd Marketplace”) for those wishing to provide services  or seek services from other members within the GamCrowd Marketplace. The terms and conditions set out below govern the relationship between Gamcrowd Services Limited (“we”, “us” and “our” as appropriate) and you as a Gamcrowd Member using the services we offer on www.gamcrowd.com (the “Site”).

1.2            These terms and conditions together with our Privacy Policy [INSERT AS LINK TO SITE'S PRIVACY POLICY], our Website Terms of Use [INSERT AS LINK TO WEBSITE TERMS OF USE], our Acceptable Use Policy [INSERT AS LINK TO ACCEPTABLE]. (“the Site Documents”) contain information about us and the legal terms and conditions upon which your membership of the Site is governed. By accepting these terms and conditions you confirm that you have read and accepted the Site Documents, that there is a binding contract between us and you which sets out your rights and obligations as a Member and that you will adhere to the Site Documents.

1.3            You should print a copy of the Site Documents or save them on your computer for future reference.

1.4            In addition to the Site Documents you may enter into other contracts either as a Marketplace Buyer or Marketplace Freelancer in the GamCrowd Marketplace. The Site Documents and any supplemental contracts are intended to be read in conjunction with each other. However, if any conflict arises between any other contract you enter into as a result of accessing the Site and the Site Documents shall prevail.

 

 

2.              Membership of the site

2.1            The terms set out in clauses 4, ,6 and 7 apply to Marketplace Buyers, the terms set out in clauses  5, 6 and 7 apply to Marketplace Freelancers and clauses 1 to 3 and 8 to 13 apply to all categories of GamCrowd Members.

2.2            The only qualifying criteria for Marketplace Buyers and Marketplace Freelancers are that if you are an individual, you are at least 18 years of age. .  

2.3            You warrant and represent that all the information that you provide to become a Gamcrowd Member is true and accurate in all respects and not misleading. You further warrant and undertake to inform us that should any material information that you have provided becomes inaccurate or has changed you shall notify us of any material change immediately upon such change occurring.

2.4            If for any reason you cease to be eligible to be a Gamcrowd Member you must inform us a soon as reasonably practicable. This may lead to your membership being suspended or terminated. If your circumstances subsequently change you may be eligible for reinstatement.

2.5            You agree not to create multiple memberships for yourself by using different e-mail addresses or other identifying information.   

2.6            We reserve the right, in our sole discretion, to refuse to register anyone as a Gamcrowd Member for any reason.

3.              the site

3.1            We will deal with you almost entirely through the Site.. Marketplace Buyers and Marketplace Freelancers may use the site to offer and accept proposals to provide services. Use of the site is not permitted by any person who is not a Gamcrowd Member. Use of the site is not permitted as nominee or trustee for any person who is a Gamcrowd Member.

4.              Marketplace buyer Terms

4.1            Upon registering as a Marketplace Buyer you will have access to the Marketplace area of the Site. As a Marketplace Buyer you will be able to post a Job.

4.2            In order to post a Job you will need to provide the Job Specification including any Deliverables required. Upon completing the Job Specification your Job will be posted on the Site. All Job Specifications must comply with the Content Standards set out in our Acceptable Usage Policy.

4.3            If you post a Job with and subject to specific terms and conditions then such terms and conditions shall apply unless varied by these terms and conditions. In the event of conflict between the terms and conditions stipulated by you and these terms and conditions then these terms and conditions shall apply.

4.4            Once a Job is posted on the Site you will be contacted by Marketplace Freelancer who wish to accept the Job by making a Proposal. Upon accepting a Proposal from a Marketplace Freelancer you will be required to pay the Job Price, plus any applicable payment processing fees, into the Stakeholder Account within 2 Business Days. The Marketplace Freelancers will receive confirmation of your acceptance of their Proposal and confirmation that the Job Price has been deposited in the Stakeholder Account. The Marketplace Freelancer must then within 1 Business Day of receiving confirmation that the Job Price has been deposited in the Stakeholder Account provide confirmation to the Marketplace Freelancer through the Site that it has commenced work on the Job. If the Marketplace Freelancer fails to provide such confirmation within 1 Business Day we will inform the Marketplace Freelancer and you will be entitled to a Refund of the Job Price or accept the Proposal of another Marketplace Freelancer.

4.5            Whilst a Marketplace Freelancer is completing a Job it will provide regular updates regarding progress and may seek to obtain further instructions from you. You agree to reply to a request for further instructions from the Marketplace Freelancer within 2 Business Days. Similarly, you may request updates from the Marketplace Freelancer who agrees to provide you with a reply within 2 Business Days. If you make any changes to the Job Specification before the Job is completed the Marketplace Freelancer reserves the right to propose an increase in the Job Price. If you accept the Revised Job Price you must within 1 Business Day deposit such additional sum into the Stakeholder Account to ensure it is equal to the Revised Job Price. If you do not agree with the Revised Job Price proposed by the Freelancer the Job will continue in accordance with the original Job Specification. 

4.6            If at any stage before the Job is completed the Marketplace Freelancer envisages it will not be able to meet any agreed deadline it must inform you as soon as reasonably practicable and provide a revised Delivery Date. If a Marketplace Freelancer fails to keep you informed about the progress of the Job or unreasonably requests revisions to agreed deadlines you can refer the matter to us and request a Refund. We will consider any such request for a Refund in accordance with the Dispute Resolution Procedure.

4.7            When the Marketplace Freelancer has completed the Job and delivered any Deliverables it will raise an Invoice. The Invoice will be in the sum of the Job Price (or Revised Job Price if any amendments to the Job Specification have been agreed before the Job is complete).  You must within 5 Business Days confirm payment of the Invoice or Reject the Invoice. If you confirm payment of the invoice the funds deposited in the Stakeholder Account will be released to the Marketplace Freelancer less our fees. Once you have confirmed payment of an Invoice no funds are refundable.  If you Reject an Invoice you will be required to provide a detailed explanation setting out why you feel payment of the Invoice should not be made (“Rejection Notice”). The Marketplace Freelancer must provide a reply to your Rejection Notice within 3 Business Days. If you and the Marketplace Freelancer cannot resolve the matter either you or the Marketplace Freelancer can refer the matter to us to be determined in accordance with our Dispute Resolution Procedure set out in clause 15. If you do not either confirm payment of the invoice or Reject the Invoice within the 5 Business Day period referred to above we shall assist the Marketplace Freelancer in attempting to contact you. If after 20 Business Day you still have not confirmed payment of the Invoice or Rejected the Invoice the funds in the Stakeholder Account will be released to the Marketplace Freelancer less our fees.

4.8            As a Marketplace Buyer you will be given an opportunity upon completion of the Job to rate the Marketplace Freelancer on a 1 out of 5 scoring system and provide a comment about the service provided by the Marketplace Freelancer. This ranking may influence the Marketplace Freelancer’s rating on the Site and therefore you should provide an honest and accurate rating. Any attempt of actual manipulation of the ranking system may result in your membership being terminated.    

5.              MarketPlace Freelancer terms

5.1            Upon registering as a Marketplace Freelancer you will have access to the Marketplace area of the Site. As a Marketplace Freelancer you will be able to submit a Proposal in relation to a Job posted by Marketplace Buyers.

5.2            If a Proposal you submit in relation to a Job is accepted by the Marketplace Buyer you will be notified of this by e-mail and will then receive confirmation that the Marketplace Buyer has deposited the Job Price into the Stakeholder Account. You must within 1 Business Day of receiving confirmation that the Job Price has been deposited into the Stakeholder Account provide written confirmation to the Marketplace Buyer by email that you have commenced work on the Job.

5.3            You must provide regular updates regarding the progress of the Job to the Marketplace Buyer. You may seek further instructions from the Marketplace Buyer in respect of any aspect of the Job. You must reply to any request for an update from a Marketplace Buyer within 2 Business Days. If a Marketplace Buyer wishes to make an amendment to the Job Specification before the Job is completed you can negotiate a Revised Job Price with the Marketplace Buyer. If you agree a Revised Job Price the Buyer shall within 1 Business Day deposit such additional sum into the Stakeholder Account to ensure it is equal to the Revised Job Price. If you cannot agree a Revised Job Price you must continue to complete the Job in accordance with the original Job Specification.

5.4            If at any stage before the Job is complete you envisage not being able to complete the Job before any agreed deadlines you must immediately inform the Marketplace Buyer and provide a revised deadline or Delivery Date. If you fail to keep a Marketplace Buyer informed of the progress of the Job or unreasonably request revisions to agreed deadlines of the Delivery Date the Marketplace Buyer may be entitled to a Refund and you will not receive any payment.

5.5            When you have completed the Job you must raise an Invoice. The Marketplace Buyer must then within 5 Business Day confirm payment of the Invoice or Reject the Invoice. If the Marketplace Buyer confirms the Invoice you will receive the Job Price (or Revised Job Price) less any commission, payment processing costs or any other fees payable to us within 5 Business Days. If a Marketplace Buyer Rejects your Invoice it must provide a Rejection Notice. You must provide a reply to the rejection notice within 3 Business Days of receipt. If following receipt of the your reply to the Rejection Notice you and the Marketplace Buyer cannot resolve the matter you may refer the matter to us to be determined in accordance with our Dispute Resolution Procedure set out in clause 15. If after submission of an Invoice the Marketplace Buyer neither confirms payments nor Rejects the Invoice within 5 Business Day we shall attempt to contact the Marketplace Buyer on your behalf. If the Marketplace Buyer has not confirmed payment or Rejected the Invoice within 20 Business Days of the Invoice being raised we shall release the monies deposited in the Stakeholder Account to you less our fees.

5.6            A Marketplace Buyer will have the opportunity to rate you on a 1 out of 5 scoring system and comment on the services you have provided. This rating will be published on the Site to other Marketplace Buyers. We also reserve the right to score you or post a comment in connection with any Disputes you are involved in. 

5.7            You must complete the Job and deliver any Deliverables to the Marketplace Buyer in accordance with the Job Specification. You must meet, and time is of the essence as to, any performance dates specified in the Job Specification. You acknowledge and agree that the Marketplace Buyer will be accepting your Proposal on the basis of the information you supply which must be true, accurate and not misleading in any respect. You must ensure any work carried does not contain any errors and is completed using reasonable skill and care.

5.8            The Intellectual Property Rights in any Deliverables delivered to the Marketplace Buyer will by these terms and conditions be assigned with full title guarantee to the Marketplace Buyer on payment of the Invoice. You warrant and represent that any Deliverables to do infringe any third party Intellectual Property Rights. You agree to execute and deliver any documents required for the purpose of giving the Marketplace Buyer all rights, title and interest in and to the Intellectual Property Rights in any Deliverables. You will also waive any moral rights in any Deliverables to which you are now or may in the future be entitled to under Chapter IV of Part I of the Copyright Designs and Patents Act 1988 or any similar provisions of law in any jurisdiction.  

6.              mARKETPLACE General Terms

6.1            The terms and conditions in this clause apply to both Marketplace Buyers and Marketplace Freelancers.

6.2            Both Marketplace Buyers and Marketplace Freelancers accept that they are contracting directly between themselves and that we are not a party to any such contact. We simply provide a platform and structure for Marketplace Buyers and Marketplace Freelancers to agree Jobs.

6.3            Nothing in these terms and conditions shall render the Marketplace Freelancer the employee, worker, agent or partner of the Marketplace Buyer and the Marketplace Buyer must not hold itself out as such. The contract between the Marketplace Buyer and the Marketplace Freelancer shall constitute a contract for the provision of services and not a contract of employment. Accordingly, the Marketplace Freelancer is responsible for the payment of all income tax, National Insurance and social security contributions and any other liability in connection with the performance of a Job.  

6.4            Both Marketplace Buyers and Marketplace Freelancers agree that all communications and payments between them must take place thorough the Site. If a Marketplace Buyer or Marketplace Freelancer attempts to contact you in any way or makes/accepts a payment other than through the Site you must notify us immediately. We reserve the right to immediately cancel membership to the Site if we discover a Marketplace Buyer or a Marketplace Freelancer has breached this clause. 

6.5            All payment made to Marketplace Freelancers and Marketplace Buyers from the Stakeholder Account must be to a UK bank account and can take at least 3 Business Days. No interest is paid on any funds in the Stakeholder Account. 

6.6            In the event that there is no activity in respect of any Job for a period in excess of 20 Business Days we shall contact the Marketplace Freelancer and ask it to post a message confirming the progress with the Job, raise an Invoice or if the Job has been cancelled notify our cancellation team. If the Marketplace Freelancer does not respond to our request within 3 Business Days we shall refund any monies deposited in the Stakeholder Account to the Marketplace Buyer.

6.7            A Marketplace Buyer may cancel a Job at any stage before a Marketplace Freelancer has confirmed it has commenced work on a Job and shall receive a full refund of any monies paid into the Stakeholder Account.

6.8            If a Marketplace Buyer wishes to cancel a Job after a Marketplace Freelancer has confirmed it has commenced work on a Job it must inform the Marketplace Freelancer and us at support@gamcrowd.com. If the reason for cancellation has nothing to do with Marketplace Freelancer’s performance the Marketplace Freelancer will be entitled to receive the Job Price (or Revised Job Price) deposited in the Stakeholder Account less our fees. If the Marketplace Buyer wishes to cancel a Job due to the performance of the Marketplace Freelancer and claim a Refund or Partial Refund the matter will be determined in accordance with the Dispute Resolution Procedure.

6.9            If a Marketplace Freelancer wishes to cancel a Job after it has confirmed it has commenced work on the Job it must inform the Marketplace Buyer and us at support@gamcrowd.com. If the reason for cancellation has nothing to do with the Marketplace Buyer’s conduct the Marketplace Buyer will be entitled to a Refund of any monies deposited into the Stakeholder Account. If the Marketplace Freelancer wishes to cancel a Job due to the conduct of the Marketplace Buyer and claim payment of the Job Price or Revised Job Price the matter will be determined in accordance with the Dispute Resolution Procedure. We may publish on the Site the number of times a Marketplace Freelancer or Marketplace Buyer has cancelled a Job.

6.10          A Marketplace Buyer shall be entitled to a refund of the Job Price (or revised Job Price) in the following circumstances:-

(a)       at any time before the Marketplace Freelancer has not confirmed it has started the Job;

(b)       the Marketplace Freelancer has completely failed to complete the Job or deliver any Deliverables by the Delivery Date (i.e. there has been no performance whatsoever by the Marketplace Freelancer);

(c)       we have determined in accordance with the Dispute Resolution Procedure that the Buyer is entitled to a Refund.

6.11          Marketplace Buyers and Marketplace Freelancer acknowledge and agree that they shall not at any time make any claim against each other for indirect, incidental, punitive, consequential or special damages or any loss of business, loss of profits, anticipated savings, loss or corruption of data, loss of goodwill or reputation as a result of either breaching these terms and conditions.  

7.              MARKETPLACE FEES

7.1            Marketplace Buyers agree to pay such fees as stated on the Site for all funds deposited in the Stakeholder.

7.2            Marketplace Freelancer agree that we may deduct our fee of 12.5% of the Job Price (or Revised Job Price) plus VAT and any payment processing fees from the Stakeholder Account immediately before the balance of the Job Price (or Revised Job Price) is paid to the Marketplace Freelancers.

8.              Marketplace Dispute Resolution procedure

8.1            Both Marketplace Freelancer and Marketplace Buyer agree to attempt to resolve any Dispute between themselves before referring the matter to us and, if a resolution cannot be reached, agree that the terms and conditions in this clause 15 shall apply.

8.2            A Dispute can be raised by a Marketplace Buyer or a Marketplace Freelancer if:

(a)       following a Rejection Notice the parties cannot reach a conclusion on the Job Price payable by the Marketplace Freelancer; or 

(b)       one party considers the other party to have breach any of these terms and conditions which apply to them.

A Dispute can also be raised by a Marketplace Buyer if a Marketplace Freelancer fails to keep a Marketplace Buyer informed about the progress of the Job or unreasonably requests revisions to agreed deadlines or Delivery Date. 

8.3            Upon being notified of a Dispute we shall review all correspondence between the parties on the Site and (if applicable) the Rejection Notice and reply to the Rejection Notice. We may request further information from either party to determine any Dispute. Both Marketplace Freelancer and Marketplace Buyer agree to provide such information to us within 3 Business Days. We shall then determine the Dispute in our sole discretion and notify the parties of our determination within 14 Business Days. Our determination shall be final and binding between the Marketplace Buyer and the Marketplace Freelancers.  

9.              Suspension & Termination

9.1            We reserve the right to suspend any Gamcrowd Members account for any reason for any period of time we consider reasonable in our sole discretion.

9.2            Without effecting any other right or remedy available to us, we may terminate the agreement between us as set out in these terms and conditions immediately upon written notice if:-

(a)       you fail to pay us any amount due under these terms and conditions;

(b)       you commit a material breach of any term of these terms and conditions or the Site Documents;

(c)       we suspect, you intend, or you have used the Site for any illegal immoral or disreputable activity;  

(d)       through your use of the Site you have threatened or abused us or another Gamcrowd Member; or

(e)       your use of the Site is likely to bring us into disrepute.

9.3            You may terminate the agreement between us as set out in these terms and conditions upon giving us 14 days written notice provide that:-

(a)        (being a Marketplace Freelancers) you are not performing a Job for a Marketplace Buyer; or

(b)       (being a Marketplace Buyer) you are not having a Marketplace Freelancers perform a Job.

10.           liability

10.1          You agree to indemnify us against all liabilities, costs, expenses, damages and losses (including but limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by us in connection with any breach of these terms and conditions or the Site Documents.

10.2          We shall only be liable to you for any loss or damage which results as a directly foreseeable consequence of our breach of these terms and conditions or our own gross negligence, wilful default or fraud.

10.3          Our liability is limited as follows:-

(a)       in respect of Marketplace Buyers and Marketplace Freelancer – to an amount equal to the fees we would or have charged in respect of the related Job.

10.4          We shall not be liable for any indirect, incidental, punitive, consequential or special damages or any loss of business, loss of profits, anticipated savings, loss or corruption of data, loss of goodwill or reputation.

10.5          Nothing in this Agreement shall limit our liability for death, personal injury or fraud or for any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

11.           complaints

11.1          If you want to make a complaint about us or the Site you should send it to  support@gamcrowd.com. Your complaint should include brief details of issue giving rise to your complaint. You will receive an acknowledgement e-mail within 2 Business Days of us receiving your e-mail. We aim to investigate all complaints within 5 Business Days of receiving your e-mail however in certain circumstances we may require further time to complete our investigation. We may also ask further information from you regarding your complaint. We aim to issue you with a final determination of your complaint within 20 Business Days of receiving your complaint. 

12.           General

12.1          Assignment and other dealings.

(a)       We may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under these terms and conditions and may subcontract or delegate in any manner any or all of our obligations under these terms and conditions to any third party.

(b)       You shall not, without our prior written consent, assign, transfer, charge, subcontract, declare a trust over or deal in any other manner with all or any of its rights or obligations under these terms and conditions.

12.2          Notices.

(a)       Any notice given to you under or in connection with these terms and conditions shall be sent to the e-mail address you provided as part of the registration process (or subsequent e-mail address specified by you) or by pre-paid first class post or commercial courter to the address you provided as part of the registration process (or subsequent address specified by you). 

(b)       Any notice from you to us must be in writing and addressed to us at our registered office and shall be delivered by prepaid first-class post or other next working day delivery service, or by commercial courier.

(c)       A notice given in accordance with clause 19.2(a) shall be deemed to have been received when the e-mail has been sent. A notice given in accordance with clause 19.2(b)shall be deemed to have been received if sent by pre-paid first class post or other next working day delivery service, at 9.00 am on the second Business Day after posting or if delivered by commercial courier, on the date and at the time that the courier's delivery receipt is signed.

(d)       All notices must be in the English Language.

12.3          Severance.

(a)       If any provision or part-provision of these terms and conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these terms and conditions.

(b)       If one party gives notice to the other of the possibility that any provision or part-provision of these terms and conditions is invalid, illegal or unenforceable, the parties shall negotiate in good faith to amend such provision so that, as amended, it is legal, valid and enforceable, and, to the greatest extent possible, achieves the intended commercial result of the original provision.

12.4          Amendments. We may amend the Site Documents at any time. Upon any amendment being made we shall give you 14 days’ notice (except where any amendment is required by any applicable law or regulatory requirement). If you do not want to accept the amendment you can terminate the agreement between us as set out in these terms and conditions. Your continual use of the Site after the Site Documents have been changed will be treated as acceptance by you of the amended Site Documents. Every time you conduct any transaction on the Site you should check the Site Documents to ensure you understand the terms and conditions which apply at that time. If you not agree with any of the Site Documents you must not use the Site.   

12.5          Waiver. A waiver of any right under these terms and conditions or law is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under these terms and conditions or by law shall constitute a waiver of that or any other right or remedy, nor prevent or restrict its further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

12.6          Authority. You are duly authorised to enter into these terms and conditions and all agreements referred to in these terms and conditions. You are entering into this agreement as principal.     

12.7          Force Majeure. We shall not be in breach of these terms and conditions nor liable for delay in performing, or failure to perform, any of our obligations under these terms and conditions if such delay or failure result from events, circumstances or causes beyond our reasonable control.

12.8          No partnership or agency. Nothing in these terms and conditions is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, nor constitute either party the agent of another party for any purpose. Neither party shall have authority to act as agent for, or to bind, the other party in any way.

12.9          Execution. These terms and conditions shall be deemed duly executed and shall become effective and binding and you when you affirm to them on the Site.

12.10       Governing law. These terms and conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

12.11       Jurisdiction Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Contract or its subject matter or formation (including non-contractual disputes or claims).

13.           Interpretation

13.1          Definitions. In these Conditions, the following definitions apply:

Business Day;

a day other than a Saturday, Sunday or public holiday in England when banks in London are open for business.

Deliverables;

all documents, products and materials to be supplied by a Marketplace Freelancers to a Marketplace Buyer in respect of a Job.

Delivery Date;

the date by when a Job is required to be completed

Dispute;

a dispute between a Marketplace Freelancers and Market Buyer;

Dispute Resolution Procedure;

the procedure set out in clause 8

Gamcrowd Member;

a member of the Site being any of the following:

(a)       a Marketplace Freelancer;

(b)       a Marketplace Buyer

(c)       a member of the public who has registered on GamCrowd but has yet to act as a Marketplace Freelancer or Buyer.

Intellectual Property Rights;

patents, utility models, rights to inventions, copyright and neighbouring and related rights, moral rights, trade marks and service marks, goodwill and the right to sue for passing off [stor Memertions etplace Buyers whilst a Job is being completed;me you conduct any transaction onor unfair competition, rights  in designs, rights  in computer software, database rights , rights  to use, and protect the confidentiality of, confidential information (including know-how) and all other intellectual property rights and including all applications and rights to claim priority from, such rights  and all similar or equivalent rights  or forms of protection which subsist or will subsist now or in the future in any part of the world.

 

 

Invoice;

an invoice raised by a Marketplace Freelancer on completion of a Job

Job;

a piece of work carried out by a Marketplace Freelancer following the acceptance by a Marketplace Buyer of a Proposal.

Job Price;

the fee agreed between the Marketplace Freelancer and Marketplace Buyer for the Job which shall be deemed to exclude VAT if the Marketplace Freelancer is registered for VAT.

Job Specification;

the specification of a Job provided by a Marketplace Buyer which must include the following:-

(a)       the timeframe for delivery of the Job

(c)       a breakdown of all deliverables; and

(d)       any other expectations for the work.

Marketplace Freelancers;

a member who wishes to carry out Jobs for Marketplace Buyers;

Marketplace Buyer;

a member who wishes to have Marketplace Freelancer carry out a Job;

Proposal;

an offer by a Marketplace Freelancer to complete a Job offered by a Marketplace Buyer which must contain a proposed Job Price;

Project;

the Entrepreneur Member’s campaign to be listed on the Site in order to raise investment in the Entrepreneur Member;

Project Information;

information relating to an Entrepreneur Member and its business;

Project Period;

the period of time in which the Entrepreneur Member can seek to reach its Target;

Refund;

the return of monies deposited by the Marketplace Buyer in the Stakeholder Account and Partial Refund shall mean a return of part of those monies;
